Responsibilities

General Purpose of Position:

The Attorney – Corporate & Transactions will provide legal advice and counsel to multiple departments within the Company, review, negotiate and draft various types of corporate and transactional documents and effectively represent Southwest with vendors, opposing lawyers, regulators, public officials and others.

Summary of Essential Job Functions:

*

The Attorney – Corporate & Transactions will represent the Company through interactions with (i) various departments within the Company and (ii) external parties with whom the Company does, or may do, business, each with limited supervision of a Senior Attorney or other more senior attorney. Specifically, at a minimum, the attorney will be responsible for the following:

* Providing legal support to multiple departments of the Company in negotiating, drafting and reviewing a wide variety of commercial and technology contracts including, but not limited to, professional services agreements, software as a service agreements, master service agreements, equipment purchase agreements, licensing agreements, maintenance agreements, credit agreements, real estate lease agreements, evaluation agreements, non-disclosure agreements and telecommunication agreements;
* Analyzing and interpreting existing Company agreements to provide advice and guidance;
* Strategically managing outside counsel and budgets;
* Effectively prioritizing and managing concurrent projects with competing Company demands;
* Performing other duties requiring legal research and analysis and/or negotiation as may be requested by the General Counsel or other more senior attorney; and
* Supervising the work of paralegals and other support staff assigned to matters with the attorney.

Qualifications

BASIC QUALIFICATIONS:

High School Diploma, GED or equivalent education required.

Must be at least 18 years of age.

Must have authorization to work in the United States as defined by the Immigration Reform Act of 1986.

EDUCATION:

*
Undergraduate and law degrees from accredited schools required.

WORK EXPERIENCE:

* Must have at least three years of experience with a mid-sized to major law firm or in-house legal department as a practicing transactional attorney.

* The candidate must have at least three years of substantive experience drafting, reviewing and negotiating a wide variety of commercial and technology contracts.

* Securities and corporate governance experience preferred, but not required.

LICENSING/CERTIFICATION:

Must be a current member in good standing of a bar association.

SKILLS/ABILITIES/KNOWLEDGE/WORK STYLE:

Must possess strong PC skills with knowledge of word processing application. Ability to use a computer keyboard with sufficient speed to meet demands of job.

Must have good people skills and be able to work effectively with all levels of SWA Employees.

Ability to work well with others as part of a team.

Proven ability to perform under pressure.

Must have judgment sufficient to handle and resolve issues related to sensitive and confidential legal matters.

Must have strong interpersonal skills and be able to communicate effectively, both verbally and in writing, with executives and General Counsel Department staff, clients, outside counsel, vendors, and others.

Must be willing and able to gain expertise and perform work in new areas of the law.

Must have excellent organizational skills and be able to perform efficiently and effectively on multiple projects under tight deadlines.

* Must have judgment sufficient to handle and resolve issues relating to sensitive and confidential legal matters.

Must be able to comply with Company attendance standards as described in established guidelines.

OTHER QUALIFICATIONS:

Must be willing to travel when required (e.g., to support the Company’s airport development and other projects).

* Must be able to work flexible schedule to include non-business days and hours as needed to meet client needs.

Must maintain a well-groomed appearance per Company appearance standards as described in established guidelines.

Must be a U.S citizen or have authorization to work in the United States as defined by the Immigration Reform Act of 1986.
