The Deputy Company Secretary is a significant role and is responsible for supporting the Virgin Australia group of companies in meeting its corporate governance obligations. This role will see you supporting the Company Secretary in the delivery of effective and commercial governance related to matters impacting Virgin Australia, its Boards, Committees & companies in the Virgin Australia Group.

The role:

The responsibilities of the Deputy Company Secretary include:

* Arranging, co-ordinating and attending Board & Committee meetings (both for Virgin Australia Board Committees and subsidiary companies. This includes:

* co-ordinating/scheduling meetings;

* preparing agendas;

* preparing minutes & actions arising & following actions through to completion;

* drafting Board papers and liaising with the business in relation to these; &

* preparing/ execution of circular resolutions and related documents;

* Advice on ASX listed governance matters;

* Preparation of annual Notice of Meeting, Corporate Governance Statement and Company Secretariat sections of the Annual Report

* ASX compliance including preparation of Director share notifications and lodgement of ASX announcements;

* Arranging execution of company documents/contracts;

* Ensuring completion and lodgement of statutory forms/returns and reporting under the Corporations Act and other relevant legislation;

* Governance input and advice/support for key corporate projects;

* Project management of Company Secretariat component of AGM.

What you’ll need:

* A law degree and Diploma of Applied Corporate Governance highly desirable;

* Demonstrated company secretariat experience, preferably in a listed company environment;

* Strong understanding of corporate governance issues (related legislation, regulatory requirements and best practice standards) and ability to apply these in a practical manner;

* Focus and ability to complete tasks in a highly demanding fast paced environment and to juggle several matters at the same time;

* Attention to detail and high level of accuracy;

* Strong stakeholder engagement skills including experience working with senior management and non-executive directors;

* Excellent time management skills;

* Strong written and verbal communication skills;

* Strong work ethic and ability to remain calm under pressure.
